Decisions of the Extraordinary Meeting of Scanfil plc on 1 December 2022
The Extraordinary General Meeting of Scanfil plc was held through exceptional procedures today on 1 December 2022 in Sievi. The General Meeting was organized according to the changes in the Companies Act (624/2006) which came into force on 11 July 2022 and the implementing provision of the Act to amend Chapter 5 of the Companies Act (660/2022). Neither shareholders nor their proxy representatives could participate in the meeting in person. The General Meeting supported the Board of Directors’ proposal to the General Meeting, set out in the notice to the General Meeting sent on 10 November 2022, to add an addition to the Articles of Association concerning remote participation in the General Meeting as an alternative way to attend the meeting or in lieu of convening to a physical meeting.
The General Meeting resolved, in accordance with the proposal of the Board, to amend Section 8 of the Articles of Association of Scanfil plc by adding the option to the Board of Directors to decide on organising a General Meeting so that the shareholders may use their decision-making rights through telecommunication and technical means, or so that the General Meeting is arranged without a meeting venue and the shareholders exercise their decision-making rights fully through telecommunications and technical means.
The minutes of the General Meeting, including an English translation, will be available on the website of the company at the latest on 15 December 2022.
